These Terms of Service ("Terms") constitute a legally binding agreement between you ("Customer", "you") and NP Platforms, a sole proprietorship registered in Denmark ("Clerion", "we", "us").

By accessing or using the Clerion service ("Service"), you agree to be bound by these Terms.

The Service is intended solely for business users (B2B). By using the Service, you confirm that you act on behalf of a company or organization and are legally authorized to bind it.

The Service is not intended for private individuals or consumers.

Clerion is an AI-powered candidate evaluation platform that analyzes CVs, generates interview questions, and produces reasoning-based assessments.

Clerion is not an applicant tracking system (ATS) and does not manage hiring workflows, pipelines, or recruitment processes beyond evaluation support.

The Service is provided in MVP (Minimum Viable Product) stage:

• No uptime or availability guarantees
• Features may change or be removed
• Service interruptions may occur
• Pricing and limits may change with notice

Employers access the Service via user accounts secured through passwordless authentication.

You are responsible for:

• Account security
• All activity under your account
• Accuracy of provided information

Candidates do not create accounts and access the Service only via public application pages.

All intellectual property in the Service remains the property of Clerion.

You retain ownership of:

• Job descriptions
• Company content
• Candidate data submitted to your job postings

You grant Clerion a limited license to process such content solely to provide the Service.

You agree to:

• Comply with applicable laws
• Respect candidate rights
• Use outputs responsibly
• Ensure lawful data collection

You may not:

• Reverse engineer the Service
• Use the Service for unlawful or discriminatory purposes
• Rely on outputs for fully automated decision-making
• Circumvent security or access controls

The Service provides only assistive AI outputs.

• Outputs are advisory
• Clerion does not provide legal, HR, or employment advice
• Clerion does not make hiring decisions
• Human review is required for all employment decisions

Paid plans are billed via Stripe.

• Prices exclude VAT unless stated otherwise
• Subscriptions renew automatically unless cancelled
• No refunds unless required by law

Candidate data processing is governed by the Data Processing Agreement (DPA).

• Customer is data controller
• Clerion acts as a data processor
• Customer is responsible for lawful processing and notices

You may cancel at any time. Clerion may suspend or terminate access for violations.

Upon termination, data is handled in accordance with retention policies.

The Service is provided "as is".

Clerion is not liable for:

• Hiring decisions
• AI output inaccuracies
• Indirect or consequential damages

Total liability is limited to fees paid in the preceding 12 months.

Clerion is not liable for failures caused by events beyond reasonable control.

Terms may be updated. Continued use constitutes acceptance.

These Terms are governed by Danish law, with mandatory EU law provisions where applicable.
